OUR SERVICES

Setting up in China or changing equity: entity form and document list

We explain common entity forms, coordinate setup steps, and outline governance documents and ongoing compliance themes. Sector access and licences need review under then-current rules.

For a WFOE or JV, shareholders typically need clarity on capital timing, business-scope wording, director rules, and authenticating parent-company papers.

We explain common entity forms, coordinate articles and appointment documents, and flag post-setup contract and employment compliance.

Access rules and the negative list require case-by-case review under then-current rules. We do not promise approval timing or a grant.

Hypothetical: German investor needs a workable document calendar for a Chengdu WFOE

Scenario & challenge:Story setup: A German industrial-software company plans a Chengdu WFOE for Asia-Pacific clients. The board fight is capital contribution timing, business-scope wording that covers implementation and training, director rules, and which parent authorisations need legalisation. Finance wants a bookkeeper first; legal wants a step-and-document map before picking partners. Nobody wants “about two or three months” — they want a checklist calendar. Possible approach:Illustrative moves: access screen under then-current FDI/registration rules; bilingual articles and appointment papers; legalisation/translation and bank onboarding touchpoints; post-setup contract/HR compliance flags. No promised approval timing or grant.

FAQ

Questions, answered

General information to help you prepare for a conversation. Individual advice depends on the facts.

What are the steps from first contact to engagement?

You send a case summary (or WhatsApp once the number is live) → we run a conflict check and say if we can act → firm quote and written engagement → work with updates → closing and file handover. A form alone is not an engagement.

Can a foreign company hire Chinese counsel for a supplier who will not ship?

Yes. A PRC law firm can handle China-side demand letters, talks, mediation, arbitration, or court work. Which path fits depends on your contract, your evidence, and where the other side sits. Send a short case summary first. Site text is not legal advice; a form submit is not an engagement.

Do you guarantee we get our money back or win?

No. We explain options, main risks, and how fees are structured. Formal work is accepted and billed only through the firm.

What languages can we use?

The site has 11 UI languages. Working languages for your matter depend on assigned counsel [pending confirmation]. You can write your case summary in English or Chinese.
