OUR SERVICES

Verify the counterparty and sign a China-ready contract before you pay

A plain English NDA often misses non-use and non-circumvention. We help verify the contracting entity, and draft or review a China-oriented NNN plus quality, payment, inspection, tooling ownership, and dispute clauses. Enforceability turns on facts, chops, controlling language, and forum.

Confidential documents and a lock motif (display illustration placeholder)

With only an English trade name and a proforma invoice, confirm the Chinese registered name and registry code before you pay.

A US-style NDA often covers secrecy alone and may not stop a factory using your design or selling around you downstream.

We check public entity records and draft or review NNN plus key purchase terms. A generic template is not a substitute for this deal.

01

When this may be relevant

  • First deal with a factory or trader; about to share tooling, drawings, or customer channels
  • You want a clause that can be argued in a PRC court or arbitration
  • You need to tell factory vs trading company apart
  • You have an English template and need bilingual, Chinese-controlling, chop-ready text

02

How we may assist

  • Public-registry checks on entity, legal representative, and abnormal-status flags
  • NNN drafting: non-disclosure, non-use, non-circumvention (including affiliate reach)
  • Purchase terms: specs/inspection, payment milestones, late/defect liquidated damages, tooling ownership, subcontract limits
  • Controlling language, company chop, and signatory hygiene notes
  • Matching the dispute clause to where assets actually sit

03

A general approach

  1. Set diligence scopePaper checks versus on-site or partner inspection.
  2. Draft or reviewNNN and purchase essentials rewritten for your deal.
  3. Sign and retain proofChop, bilingual texts, evidence tips.

Hypothetical: Australian brand finds a factory affiliate quoting its own retailers

Scenario & challenge:Story setup: An Australian custom-furniture brand had multi-year OEM ties with a South China factory under an English agreement labelled NNN. A retailer forwarded a quote from a suspected factory affiliate for near-identical goods. The fight will turn on whether customers were learned through the relationship, who initiated contact, whether liquidated damages might be adjusted in PRC procedure, and how hard an English-heavy template without clear Chinese-controlling and chop rules is to run. The brand wants a cease-and-desist now, but fears chats disappearing before evidence is locked. Possible approach:Illustrative moves: reconstruct when and how customer lists were disclosed; check affiliate equity filings; test whether the clause covers contact regardless of who initiates and reaches affiliates; preserve quotes, chats, and order exports; weigh cease-and-desist timing against negotiation or filings. An “NNN” label on the cover is not a win.

FAQ

Questions, answered

General information to help you prepare for a conversation. Individual advice depends on the facts.

For a China factory, how is an NNN different from a normal NDA?

An NNN usually covers non-disclosure, non-use, and non-circumvention. A plain NDA often only covers secrecy — it may not stop the factory using your design itself or going around you to your customers. Terms, forum, and language must fit the deal; a foreign template alone is often not enough.

What are the steps from first contact to engagement?

You send a case summary (or WhatsApp once the number is live) → we run a conflict check and say if we can act → firm quote and written engagement → work with updates → closing and file handover. A form alone is not an engagement.

What should I send in the first message?

Include: your company and location, the China party’s Chinese name if known, dispute type, amounts paid, contract/PO highlights, and the result you want. Contract PDFs, payment slips, chat exports, and trademark screenshots help. You may redact first; ask if you need an NDA before sharing more.

Can a foreign company hire Chinese counsel for a supplier who will not ship?

Yes. A PRC law firm can handle China-side demand letters, talks, mediation, arbitration, or court work. Which path fits depends on your contract, your evidence, and where the other side sits. Send a short case summary first. Site text is not legal advice; a form submit is not an engagement.
